1. Acceptance of Terms

Welcome to ClanTrade. These Terms of Service ("Terms") govern your access to and use of the ClanTrade decentralized social copy trading platform (the "Platform"), operated by ClanTrade ("we," "us," or "our").

By connecting your wallet to or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.

2. Service Description

ClanTrade is a non-custodial decentralized social copy trading platform built on Hyperliquid. The Platform enables users to:

  • View on-chain verified trading performance of other traders
  • Automatically copy trades of selected traders to their own Hyperliquid vault
  • Create and join trading clans for collaborative trading experiences
  • Compete on performance leaderboards
  • Earn rewards as top-performing traders

ClanTrade does not hold, custody, or control your funds at any time. All trades are executed directly on the Hyperliquid protocol through your own wallet and vault.

3. User Eligibility

To use the Platform, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Have the legal capacity to enter into a binding agreement
  • Not be a resident of or located in any jurisdiction where the use of the Platform would be illegal or restricted
  • Not be subject to any economic sanctions or listed on any prohibited party list
  • Have a compatible cryptocurrency wallet with sufficient funds to pay for transactions

You are solely responsible for ensuring that your use of the Platform complies with all applicable laws and regulations in your jurisdiction.

4. Account and Wallet

Access to the Platform is achieved by connecting a compatible cryptocurrency wallet. You are solely responsible for:

  • Maintaining the security of your wallet and private keys
  • All activities that occur through your connected wallet
  • Ensuring your wallet is compatible with the Hyperliquid network

We do not have access to your private keys and cannot recover your wallet or funds. If you lose access to your wallet, you may permanently lose access to your funds and copy trading positions.

5. Copy Trading and Risk Disclosure

IMPORTANT: This section contains critical risk information. Please read carefully before using the copy trading features.

5.1 Nature of Copy Trading

Copy trading allows you to automatically replicate the trades of other users ("Leaders"). When you follow a Leader, trades made by the Leader are automatically mirrored in your Hyperliquid vault according to your configured settings.

5.2 Risk Acknowledgment

By using the copy trading feature, you acknowledge and agree that:

  • Past performance does not guarantee future results. A trader's historical returns are not indicative of future performance.
  • You may lose some or all of your funds. Cryptocurrency trading involves substantial risk of loss, including the potential loss of your entire investment.
  • Leverage amplifies both gains and losses. Trading on Hyperliquid may involve leverage, which can result in losses exceeding your initial deposit.
  • Market conditions can change rapidly. Extreme volatility, illiquidity, or technical issues may result in trades being executed at unfavorable prices or not at all.
  • Slippage and execution differences. Due to timing, liquidity, and position sizing differences, your copy trades may not achieve the same results as the Leader's trades.
  • Leaders may change strategies without notice. Traders you follow may change their trading approach, take on more risk, or stop trading entirely.
  • Smart contract risk. The Platform relies on smart contracts that may contain bugs or vulnerabilities, potentially resulting in loss of funds.
  • Protocol risk. The Hyperliquid protocol may experience outages, exploits, or other issues that affect trade execution.

5.3 Not Investment Advice

ClanTrade does not provide investment advice. The information on the Platform, including trader performance data, leaderboard rankings, and any content shared by users, does not constitute financial advice, investment advice, trading advice, or any other sort of advice.

You should not make any financial decision based solely on information provided on the Platform. Always conduct your own research and consider consulting with a qualified financial advisor before making investment decisions.

5.4 Your Responsibility

You are solely responsible for:

  • Evaluating the suitability of copy trading for your financial situation
  • Configuring appropriate risk settings (position sizes, stop-losses, daily loss limits)
  • Monitoring your copy trading positions
  • Understanding the tax implications in your jurisdiction

6. Fee Structure

6.1 Builder Fee

ClanTrade charges a Builder Fee on trades executed through the Platform via the Hyperliquid Builder program. This fee is applied to each trade and is deducted automatically at the protocol level. The current Builder Fee rate is displayed on the Platform and may be updated from time to time.

6.2 Profit Share

Leaders may earn a profit share from the profits generated by their followers' copy trades. The profit share percentage is set by the Leader and displayed on their profile. Profit share is calculated and distributed according to the Platform's smart contract logic.

6.3 Network Fees

All blockchain transactions require network (gas) fees paid to the Hyperliquid network. These fees are separate from ClanTrade's fees and are your responsibility.

6.4 Fee Changes

We reserve the right to modify the fee structure with reasonable notice. Any fee changes will be posted on the Platform and, where material, communicated to users in advance.

7. Intellectual Property

The Platform, including its design, code, logos, trademarks, and content, is the intellectual property of ClanTrade and is protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose. You may not:

  • Copy, modify, or distribute the Platform's software or content
  • Reverse engineer, decompile, or disassemble any part of the Platform
  • Use the Platform's trademarks without written permission
  • Scrape, mine, or collect data from the Platform in an automated manner without authorization

8. Prohibited Conduct

You agree not to:

  • Use the Platform for any illegal purpose or in violation of applicable laws
  • Manipulate trading data, performance metrics, or leaderboard rankings
  • Engage in wash trading, spoofing, or other market manipulation
  • Use bots or automated tools to interfere with the Platform's normal operation
  • Impersonate other users or create misleading profiles
  • Attempt to gain unauthorized access to the Platform or other users' wallets
  • Harass, threaten, or abuse other users
  • Use the Platform to facilitate money laundering or terrorist financing

9. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Platform will be uninterrupted, timely, secure, or error-free
  • Trade execution will be accurate, reliable, or complete
  • Any defects in the Platform will be corrected
  • The Platform is free of viruses or other harmful components

ClanTrade is not a broker, financial institution, or investment advisor. We do not provide any financial services beyond facilitating the technical infrastructure for decentralized copy trading on Hyperliquid.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLANTRADE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR FUNDS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE TOTAL FEES YOU HAVE PAID TO CLANTRADE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You acknowledge that the risks inherent in cryptocurrency trading, including but not limited to smart contract vulnerabilities, market volatility, and protocol exploits, are beyond our control, and you assume full responsibility for any resulting losses.

11. Indemnification

You agree to indemnify, defend, and hold harmless ClanTrade, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any applicable law or third-party rights
  • Any trading losses you incur

12. Service Suspension and Termination

We may, at our sole discretion, and without prior notice:

  • Suspend or restrict your access to the Platform
  • Terminate your ability to use copy trading features
  • Remove your profile or content from the Platform

Grounds for suspension or termination include, but are not limited to:

  • Violation of these Terms or applicable laws
  • Suspected fraudulent or manipulative activity
  • Regulatory requirements or legal orders
  • Risk to the Platform or other users

Upon termination, any active copy trading positions will stop receiving new trades from Leaders. You remain responsible for managing and closing any existing positions through the Hyperliquid protocol directly.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Platform or via other reasonable means. Your continued use of the Platform after any modification constitutes your acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at legal@clantrade.com and attempt to resolve the dispute informally for a period of at least thirty (30) days.

15.2 Arbitration

If a dispute cannot be resolved informally, it shall be resolved by binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules. The arbitration shall be conducted in English and held in Singapore.

15.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and ClanTrade regarding the use of the Platform and supersede all prior agreements and understandings.
